Terms of Service

These Terms of Service (the "Terms") form a binding agreement between you (the "Customer", "you") and Server Host Inc, a Wyoming corporation having its registered office at 1309 Coffeen Ave STE 1200, Sheridan, WY 82801, USA, an authorized user of the registered Cenmax trademark ("Server Host Inc", "we", "us", the "Service Provider"). They govern your access to and use of the CloudCenmax platform, the Cloud VPS servers, dashboards, APIs, and any related products or services (collectively, the "Services").
By registering for an account, deploying a server, or otherwise using the Services, you confirm that you have read, understood, and agree to be bound by these Terms, by the Privacy Policy, and by the Acceptable Use Policy (the "AUP"), which are incorporated into these Terms by reference. If you do not agree, do not use the Services.
1. Definitions
- "Account" — the registered profile through which you access and manage the Services.
- "CloudCenmax" / "Cenmax" — the brand and registered trademark under which Server Host Inc offers the Services, used under authorization from the trademark owner.
- "Prepaid Balance" — funds you load to your Account in advance, from which charges for the Services are deducted.
- "Content" — all data, software, websites, and materials that you store, process, or transmit using the Services.
2. Eligibility and Accounts
- You must be at least 18 years old and legally capable of entering into a binding contract.
- You must provide accurate, complete, and current registration information, and keep it updated. We may verify your identity and refuse, suspend, or close any Account at our discretion, including where information is found to be false.
- You are responsible for all activity under your Account and for keeping your credentials confidential. Notify us immediately of any unauthorised use. We are not liable for losses arising from your failure to safeguard your credentials.
- One person or legal entity may not maintain multiple Accounts to evade limits, suspensions, or charges.
3. The Services
Server Host Inc provides on-demand virtual private servers and related cloud infrastructure under the CloudCenmax brand. Certain Services run in third-party data centers. While we select reputable data center partners, the availability, performance, and physical location of underlying hardware may depend on them.
We may add, modify, or discontinue features of the Services at any time. Where a change materially reduces a core function you are actively using, we will make reasonable efforts to notify you in advance.
4. Billing, Prepaid Balance and Taxes
- Prepaid, usage-based billing. The Services are billed on a prepaid basis. You load a Prepaid Balance, and charges accrue against it — typically by the hour while a resource exists, and/or as fixed monthly charges — until you destroy the resource. A running server accrues charges whether or not it is powered on.
- Hourly resources. Partial hours are rounded up to the next full hour. Posted hourly prices may be subject to a monthly cap where stated.
- Storage and images. Stored images, snapshots, and backups are billed for the storage they consume (for example, $0.10 per GB per month, charged with a one-month minimum), reconciled against the size reported by the underlying platform.
- Currency and taxes. Unless stated otherwise, prices are in US Dollars and are exclusive of taxes. You are responsible for all applicable taxes, levies, and duties (including any applicable sales, use, or value-added taxes), which will be added where required by law.
- Traffic / bandwidth. Some plans include a fixed network-transfer allowance. Traffic used beyond the included allowance is billed at the overage rate published for that location and service type; rates may differ between cloud and dedicated resources even in the same location.
- Setup fees. Certain services may carry a one-time setup fee, which is disclosed at the time of order and is non-refundable once the service is provisioned.
- Fixed monthly charges. Where a service is billed as a fixed monthly charge, the full month is charged regardless of the day you cancel within that month; monthly fees are not pro-rated or refunded for the unused portion.
- Late and reactivation fees. Overdue amounts on invoiced (non-prepaid) services may incur a late fee, and an Account deactivated for non-payment may require payment of a reactivation fee before service is restored.
- Price changes. We may change prices at any time. For an increase to an active, ongoing service, we will give at least 30 days' notice; new or renewed prices apply from the next billing cycle.
- Accuracy. Our records and metering are the authoritative basis for charges, absent manifest error.
5. Payment, Low Balance and Suspension
- You authorise us to charge your selected payment method to load or auto-replenish your Prepaid Balance and to settle outstanding charges.
- If your Prepaid Balance is insufficient to cover accruing charges, we may notify you and may suspend, power off, or stop billing-eligible resources.
- If a balance remains insufficient or an Account remains delinquent for an extended period, we may permanently destroy associated resources and Content. Data lost as a result of non-payment is not recoverable.
- Chargebacks or payment reversals made without first contacting us may result in immediate suspension and recovery of amounts owed.
6. Fraud Prevention and Order Verification
To protect against fraud, we may require new customers (or customers who change payment method) to complete an order-verification step before we provision services or provide support. Provisioning timelines begin only after verification is approved. We may refuse, hold, or cancel any order we reasonably suspect to be fraudulent.
7. Refunds and Cancellation
- Charges for resources already consumed are non-refundable.
- An unused Prepaid Balance may be refundable at our discretion, less any amounts owed, applicable fees, and non-refundable taxes. Promotional credits, bonuses, and free credits have no cash value and are non-refundable.
- Money-back / undelivered service. Any money-back guarantee applies only where we fail to deliver an ordered service; it does not apply to services that have been delivered and used. Orders placed with a substantial promotional discount may be marked final and non-refundable.
- No refunds for: change of mind; ordering the wrong location, specification, or service; failure to ask questions about a service before ordering; termination or suspension for breach of these Terms or the AUP; non-payment or late payment; or credits and account funds already applied.
- Cancellation of fixed-term services. To cancel an invoiced or fixed-term service without further charge, you must give notice before the next due date (we ask for at least 7 days). The current billing cycle is not refunded, and the service is cancelled at the end of the paid period.
- We may decline refunds where we reasonably suspect fraud, abuse, or breach of these Terms or the AUP. We retain final authority over refund decisions.
8. Service Availability, SLA and No Warranty
We aim to provide reliable Services. Network and infrastructure availability is governed by our Service Level Agreement, which sets out the uptime commitment, the service credits available for qualifying downtime, the exclusions, and how to claim. Service credits are your sole and exclusive remedy for downtime.
Except as expressly stated in the SLA, the Services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
9. Server Locations
Servers are provisioned in the location you select. We reserve the right to provision your server in a nearby facility within the same country where necessary for capacity or operational reasons. The exact data-center facility for a location is available on request.
10. Your Content and Backups
- You retain all rights to your Content. You grant us the limited rights necessary to host, transmit, and operate the Services on your behalf.
- You are solely responsible for backing up your Content. Snapshots and backups offered through the Services are a convenience, not a guarantee. We are not responsible for any loss or corruption of data.
- You represent that you have all rights necessary to store and process your Content and that doing so does not violate any law or third-party right.
11. Acceptable Use
Your use of the Services must comply with the Acceptable Use Policy. We may investigate suspected violations and may suspend or terminate Services to protect the platform, our network, our data center partners, or third parties. Where lawful and practical we will give notice, but we may act immediately in cases of urgent risk (such as ongoing attacks, illegal content, or network abuse).
12. Suspension and Termination
- You may stop using the Services at any time by destroying your resources and, if desired, closing your Account.
- We may suspend or terminate your Account or Services for breach of these Terms or the AUP, non-payment, suspected fraud, legal requirement, or risk to the platform or others.
- On termination, your right to use the Services ends and we may delete your Content. Sections that by their nature should survive (including billing, liability, indemnity, and governing law) will survive.
13. Intellectual Property
The CloudCenmax platform, software, and documentation are owned by Server Host Inc or its licensors and are protected by law. The Cenmax name and marks are used under authorization from their owner. These Terms do not grant you any right in our intellectual property except the limited right to use the Services as permitted here.
14. Limitation of Liability
To the maximum extent permitted by law, neither Server Host Inc nor our data center partners will be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business, arising out of or related to the Services. Our total aggregate liability for any claim relating to the Services will not exceed the amounts you paid for the Services in the three (3) months immediately preceding the event giving rise to the claim.
15. Indemnification
You will indemnify and hold harmless Server Host Inc and our data center partners, and their officers and employees, from any claim, loss, liability, or expense (including reasonable legal fees) arising from your Content, your use of the Services, or your breach of these Terms or the AUP.
16. Privacy
Our handling of personal data is described in the Privacy Policy. By using the Services you consent to that processing.
17. Changes to these Terms
We may update these Terms from time to time. We will post the revised version with an updated date and, for material changes, take reasonable steps to notify you. Your continued use of the Services after changes take effect constitutes acceptance.
18. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules. The state and federal courts located in Sheridan County, Wyoming shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.
